SEODA.de – Last updated: October 30, 2026
§ 1 Provider and Scope
These General Terms and Conditions apply to the use of SEODA.de and contracts for services and digital products offered through the platform.
The provider and contractual partner for SEODA's own services is:
Fahrettin Tireki – Sole Proprietorship
Bismarckstraße 26
73054 Eislingen
Germany
Email: info@seoda.de
Website: https://seoda.deSEODA provides services to consumers within the meaning of Section 13 of the German Civil Code (BGB) and businesses within the meaning of Section 14 BGB.
The binding scope of each service is determined by the service description displayed at the time the contract is concluded. Features that have not been activated or have merely been announced do not create an entitlement to their availability.
Deviating terms of business customers apply only where expressly accepted by SEODA. Mandatory statutory consumer rights remain unaffected.
§ 2 Services Offered
Where available, SEODA offers:
Free domain, SEO, technical and security analyses.
Paid advanced analyses and website valuations.
Verification of submitted revenue, profit and project information.
Paid promotional placement of sales listings.
Facilitation of the purchase and sale of domains, websites, software and digital projects.
Paid memberships and subscriptions.
The exact scope, usage limits, prices, contract duration and delivery method are specified before an order is placed.
SEODA may use automated systems and artificial intelligence to support its services. The use of such systems does not remove existing statutory or contractual obligations.
§ 3 Free Analyses
Free analyses are based on publicly accessible and technically retrievable information, and, where applicable, information from external providers.
Results may be incomplete or outdated due to technical limitations, unavailable information or changes made by third-party providers.
Free analyses do not constitute binding valuations or comprehensive security audits.
SEO indicators and technical assessments do not guarantee search engine rankings, visitor numbers or financial performance.
SEODA may apply reasonable usage limits and security measures to protect the platform.
§ 4 Paid Analyses and Valuation Reports
Paid valuations are prepared using available information, disclosed calculation methods and, where applicable, information submitted by the customer.
An automated valuation is a non-binding, model-based estimate. It is not an official or certified expert appraisal.
An estimate does not constitute a binding purchase price recommendation or a guarantee that an asset can be sold for the stated amount.
SEODA may identify insufficient information and refrain from providing a specific monetary value.
Users remain responsible for the accuracy of the information they submit. Information is described as verified only to the extent that the stated verification has actually been performed.
Contractually agreed product characteristics and statutory rights relating to defective digital products or services remain unaffected.
§ 5 Verification of Financial Information
Where purchased, a financial verification service may review submitted evidence of revenue, profit, traffic and expenses for plausibility and consistency.
The applicable verification scope is determined by the individual service description.
A completed verification may include a notice indicating its scope and date.
Such verification does not constitute a financial audit or guarantee the completeness of the information or future business results.
If the evidence is insufficient, SEODA may request additional documentation or discontinue the verification in accordance with the agreed service terms. Statutory reimbursement rights remain unaffected.
Confidential documents must not be made public without appropriate authorisation.
§ 6 Marketplace for Domains and Digital Projects
Where the marketplace is available, authorised users may offer domains, websites, online shops, software, SaaS projects and other approved digital assets for sale.
Purchase agreements involving independent sellers are generally concluded directly between the buyer and the seller.
By displaying a listing, SEODA does not automatically become the owner, seller or contractual party to the transaction.
This does not apply where SEODA is expressly identified as the seller in a particular offer.
Sellers must accurately disclose their identity, business or private status, ownership rights and the material characteristics of the asset.
Buyers and sellers are generally responsible for their contractual arrangements, the legal transferability of assets and proper transaction completion.
Information legally required about seller status, listing rankings and contractual responsibilities will be made available where applicable.
SEODA does not independently hold third-party purchase funds in escrow unless a corresponding arrangement is expressly made through a suitable payment service provider.
§ 7 Seller Obligations
Sellers may offer only projects or rights that they are legally entitled to transfer.
Information concerning revenue, profit, visitors, contracts, licences, technical restrictions and known material defects must be accurate.
Fraudulent information, manipulated financial evidence, fake listings and unauthorised sales of third-party rights are prohibited.
SEODA may request reasonable proof of ownership or authority.
Sellers remain responsible for their own tax and statutory obligations unless SEODA expressly assumes those obligations by contract.
Mandatory consumer rights against business sellers remain unaffected.
§ 8 Paid Promotional Listings
Where offered, sellers may purchase promotional placement for their listings.
The placement and duration are determined by the applicable service description.
Paid placements will be identified as advertising or sponsored content.
SEODA does not guarantee visitor numbers, purchase enquiries or a successful sale.
Promotional placement does not influence the professional independence of a separate valuation or data verification.
§ 9 Registration and User Accounts
Certain functions require a registered user account.
Users must provide accurate information and protect their login credentials against unauthorised access.
SEODA may implement reasonable safeguards where there are justified indications of misuse.
In cases of unlawful or serious contractual violations, functions may be restricted or accounts suspended in accordance with applicable law.
Existing statutory and contractual claims remain unaffected by account suspension.
Users may request account closure. Statutory retention obligations and unfinished contractual relationships remain unaffected.
§ 10 Conclusion of Contracts
The presentation of paid services on SEODA does not normally constitute a binding contractual offer.
Before an order is submitted, the essential service characteristics, total price, any recurring charges, contract duration and available payment methods will be displayed.
By clicking a button clearly identifying the obligation to pay, the customer submits a binding offer.
The contract is concluded when SEODA expressly accepts the order or makes the purchased service available.
A purely technical acknowledgement of receipt does not automatically constitute acceptance.
Consumers receive the legally required contractual information and confirmations on a durable medium.
§ 11 Prices and Payments
The total prices and tax information displayed when an order is placed apply.
Payments are processed through Stripe or PayPal, depending on the available checkout options.
The payment service provider's relevant payment terms may also apply.
Activation of a paid service may depend on successful payment.
Invoices and payment receipts are provided in accordance with applicable law.
VAT will only be omitted under the German small-business exemption where its statutory conditions are actually met. The applicable tax treatment will be reflected in the invoice.
§ 12 Memberships and Subscriptions
SEODA may offer paid subscriptions with recurring services.
Pricing, billing intervals, contract duration, renewal conditions and termination options are disclosed before purchase.
Automatic renewal is permitted only where validly agreed and legally permissible.
Subscriptions may be terminated in accordance with the agreed and statutory rules.
The right to terminate for good cause remains unaffected.
Where legally required, the platform must provide an easily accessible electronic contract termination function.
Deleting a user account does not automatically replace a required contractual termination.
§ 13 Right of Withdrawal
Consumers generally have a statutory right of withdrawal for distance contracts unless a statutory exception applies or the right has validly expired.
Details are provided in SEODA's separate Withdrawal Policy.
The early expiry of withdrawal rights is subject to different statutory conditions for services and digital content.
Required consent and acknowledgements are obtained separately during checkout.
These Terms do not restrict statutory withdrawal rights.
§ 14 Availability and Development
SEODA endeavours to maintain reliable operation of its services.
Temporary restrictions may arise from maintenance, technical failures, security measures or unavailable external services.
Contractually agreed entitlements and mandatory statutory rights remain unaffected.
Material changes to ongoing paid digital services may only be made where legally permitted.
Legally required security and functionality updates will be provided to the prescribed extent.
§ 15 Intellectual Property and Misuse
Rights in SEODA's software, design, databases and proprietary content remain with their respective owners.
Users receive only the rights necessary for contractual use.
Users submitting listings or content grant SEODA the non-exclusive rights necessary to publish and display that content in accordance with the contract.
Unauthorised access, malware, spam, attacks on technical systems, fraud and infringement of third-party rights are prohibited.
SEODA may review and remove reported unlawful content in accordance with applicable law.
§ 16 Liability
SEODA is liable without limitation for intent and gross negligence and for culpable injury to life, body or health.
In cases of slight negligence involving essential contractual obligations, liability is limited to foreseeable damage typical for the contract at the time of its conclusion.
Essential contractual obligations are obligations whose fulfilment is necessary for proper performance of the contract and upon which the contractual partner may reasonably rely.
In other cases, liability for slight negligence is excluded to the extent legally permissible.
Mandatory statutory liability, product liability, statutory defect rights and expressly assumed guarantees remain unaffected.
§ 17 Data Protection and Consumer Dispute Resolution
Information concerning personal data processing is provided in SEODA's separate Privacy Policy.
Personal data and confidential business documents are processed in accordance with applicable data protection law and contractual arrangements.
Information concerning willingness or obligations to participate in consumer dispute resolution proceedings is provided in accordance with statutory requirements.
Participation in a particular dispute resolution procedure is mandatory only where required by law or by a binding agreement.
§ 18 Governing Law and Final Provisions
German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods, to the extent legally permissible.
Mandatory consumer protection provisions of the consumer's country of habitual residence remain unaffected where they cannot be contractually excluded under applicable law.
Statutory jurisdiction rules apply. No exclusive jurisdiction deviating from mandatory consumer protection rules is agreed for consumers.
If an individual provision is invalid, the validity of the remaining provisions and the treatment of the invalid provision are governed by applicable law.
